Terms and Conditions of Sale – PortalPro Building
McCoy’s Engineering Ltd
Effective Date: 1st June 2025
Definitions
- “Company” refers to McCoy’s Engineering Ltd.
- “Customer” refers to the person or entity purchasing the PortalPro building.
- “PortalPro” refers to the portal steel frame building designed and manufactured by McCoy’s Engineering Ltd.
- “Contract” means the agreement between the Company and the Customer for the sale and purchase of the PortalPro product, including these Terms and Conditions.
Quotations and Orders
2.1 All quotations issued by the Company are valid for 30 days unless otherwise stated.
2.2 Orders are only accepted once confirmed in writing by the Company and are subject to these Terms and Conditions.
2.3 Any drawings, plans, or specifications issued by the Company are illustrative and may be subject to change.
Prices and Payment
3.1 Prices are as specified in the quotation and are exclusive of VAT unless otherwise stated.
3.2 A deposit of [e.g., 30%] is required to secure the order. The balance must be paid in full before delivery unless otherwise agreed in writing.
3.3 The Company reserves the right to charge interest on overdue payments at 4% above the Bank of England base rate.
Delivery and Installation
4.1 Delivery dates are estimates only. The Company will not be liable for delays caused by circumstances beyond its control.
4.2 Delivery is to the address agreed upon in writing. Offloading and on-site installation are the responsibility of the Customer unless otherwise arranged.
4.3 The Customer is responsible for ensuring adequate access to the site and a suitable foundation/base for the structure.
Title and Risk
5.1 Title to the PortalPro building remains with the Company until full payment has been received.
5.2 Risk in the goods passes to the Customer on delivery.
Design and Modifications
6.1 PortalPro buildings are supplied in standard or custom configurations based on the Customer’s specification.
6.2 The Company reserves the right to make minor changes to the design or materials if required due to availability or compliance with standards.
Warranties and Defects
7.1 The Company warrants that the PortalPro product will be free from material defects in design, materials, and workmanship for a period of 12 months from delivery.
7.2 This warranty does not apply to defects arising from misuse, modification, poor maintenance, or natural wear and tear.
7.3 Any claims under warranty must be submitted in writing within 14 days of the defect becoming apparent.
Liability
8.1 The Company shall not be liable for indirect, incidental, or consequential losses arising from the use of the PortalPro building.
8.2 The Company’s liability under any contract shall not exceed the value of the PortalPro product supplied.
Force Majeure
The Company shall not be liable for failure to perform its obligations where such failure is due to events beyond its reasonable control, including (but not limited to) acts of God, strikes, shortages, or governmental restrictions.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [insert jurisdiction – e.g., England and Wales], and any disputes shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
